About these terms
These terms govern the services provided by Timeback Systems Ltd ("TimeBack", "we", "us") to clients ("you"). By engaging our services, you agree to these terms. New Zealand law applies.
Our services
We offer three services, each described below:
- Automation Audit ($750–$1,500 + GST): A half-day engagement to map your workflows, identify the highest-ROI automations, and deliver a costed implementation plan. The audit fee is credited toward the build if you proceed.
- Signature Build ($4,000–$12,000 + GST, scoped per project): Design, build, and handover of one well-defined automation built against your live systems. Includes plain-English documentation and a handover walkthrough.
- Care Retainer ($400–$2,000/month + GST): Ongoing monitoring, maintenance, fixes, and small improvements to automations we have built. Includes a monthly report showing hours saved.
Payment
- Audit fee is invoiced and due before the audit session takes place.
- Build fees are agreed in the scoping document. A 50% deposit is required before build work begins; the balance is due on delivery.
- Retainer fees are invoiced monthly in advance. Payment is due within 14 days of invoice.
- All prices exclude GST. GST is added at the prevailing NZ rate where applicable.
- Late payments may incur interest at 2% per month on the outstanding balance.
The three-month guarantee
If a build we deliver has not reduced the target manual tasks to under 20% of their pre-automation time within three months of delivery, we will refund the audit fee. This guarantee applies to the specific tasks scoped and documented in the project. It does not apply if the automation has been modified by parties other than TimeBack, or if the underlying systems have changed in a way that breaks the automation.
Intellectual property
On full payment, you own the automations we build for you. We retain the right to use general techniques and patterns (not your specific business logic or data) in future work.
Confidentiality
We treat all information about your business as confidential and will not disclose it to third parties without your consent, except where required by law or necessary to deliver the service (e.g., a required third-party integration).
Limitation of liability
Our liability to you is limited to the fees paid for the specific service in question. We are not liable for indirect losses, loss of profit, or consequential damages arising from the use or failure of automations we deliver. This limitation does not apply to liability that cannot be excluded under New Zealand law.
Cancellation
- Audit: Cancellations with less than 48 hours' notice forfeit the audit fee.
- Build: If you cancel after work has begun, you are liable for a pro-rata portion of the build fee based on work completed, plus the deposit.
- Retainer: Cancel any time with 30 days' written notice. No lock-in period. Fees for the current month are non-refundable.
Governing law
These terms are governed by the laws of New Zealand. Any disputes will be resolved in the New Zealand courts.
